Terms of Service

Last updated: [date]

These Terms of Service (the "Terms") govern access to and use of Skindle, the cold-call companion web application and related services (the "Service") provided by [legal entity name], [entity type and state] ("we", "us", "the Provider"). By creating an account, accepting an invitation, or using the Service, you agree to these Terms on your own behalf and on behalf of the organization you represent.

1. Accounts and organizations

The Service is organized around organizations ("Organizations"). The person who creates an Organization is its owner and is responsible for it, including for the people they invite. Owners and admins may invite members, assign roles, publish content packs, and (owners only) manage billing. You are responsible for keeping your password confidential and for all activity under your account. You must be at least 18 and authorized to bind the Organization you represent.

2. Trials, subscriptions and payment

New Organizations receive a free trial of the length shown at sign-up. After the trial, continued use requires a paid subscription billed per seat, monthly or annually, with the minimum number of seats shown at checkout. Prices are shown before you subscribe and may change with notice for the next billing period. Payments are processed by Stripe; we do not store card numbers. Subscriptions renew automatically until cancelled. You can change seats or cancel at any time from the billing portal; cancellation takes effect at the end of the current billing period and fees already paid are not refunded except where the law requires it.

3. Your content

Content packs, call notes, target lists, templates and any other material you or your members upload or create ("Customer Content") belong to you. You grant us a limited license to host, process and display Customer Content solely to provide the Service to your Organization. You are responsible for having the rights to the Customer Content you upload, including any third-party material inside your content pack.

4. Acceptable use

You agree to use the Service only for lawful business outreach. In particular you will comply with the laws that apply to your calling, messaging and data handling, including telemarketing, do-not-call, recording-consent, anti-spam and privacy laws in the places you call. You will not use the Service to harass anyone, to send unlawful messages, to upload malicious code, to probe or disrupt the Service, to resell it, or to reverse engineer it. We may suspend accounts that put the Service or other customers at risk.

5. AI features

Parts of the Service (research briefs, roleplay, coaching, message rewrites) generate text with third-party AI models. Output is produced automatically, may be inaccurate or incomplete, and is offered as a draft for a human to review. You are responsible for what your members say and send. AI usage on the platform key is subject to fair-use limits; Organizations may instead supply their own provider key, in which case the provider's terms apply to that usage.

6. Availability and support

We aim to keep the Service available at all times but do not guarantee uninterrupted operation. We may change or discontinue features with reasonable notice. Support is provided by email at hello@skindle.ai.

7. Termination

You can stop using the Service at any time and export your data from within the app. We may terminate or suspend access for breach of these Terms, for non-payment, or where required by law. After termination we may delete Customer Content after a reasonable retention period.

8. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will meet your requirements or produce any particular sales result.

9. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose.

10. Changes to these Terms

We may update these Terms. Material changes will be announced in the app or by email at least 14 days before they take effect. Continued use after that date means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of [state / country], without regard to conflict-of-law rules, and disputes will be brought in the courts of [venue].
